Some people have problems with soy, while for others it is okay. Personally I cannot have it because it causes me migraines and gas.

To put on weight, you need to take in more calories than you spend. If you are eating plenty of calories, protein powder will help you build muscle if you are working out. But protein powder itself will not help you gain weight if you are not eating enough.
